Terms of Sale
PitchBuilder Ltd

Definitions

“Client”: The company, individual, or other entity named on the invoice and responsible for payment under these Terms of Sale.

“Project”: The scope of work undertaken by PitchBuilder Ltd to create a Pitch Deck for the Client under either the Gold Pitch Deck Creation Package or Enterprise Pitch Deck Creation Package, as selected by the Client.

“Pitch Deck”: The presentation materials (including, but not limited to, slides, text, graphics, and supporting documentation) created for the Client.

“Deliverables”: The final Pitch Deck, including any editable or source files that PitchBuilder Ltd provides to the Client.

“Project Brief”: The objectives, requirements, and specifications established through an initial briefing or discovery workshop that guide PitchBuilder Ltd in creating the Pitch Deck.

“Packages”: The Gold Pitch Deck Creation Package and Enterprise Pitch Deck Creation Package, which outline the scope of services, Deliverables, and fees for the Project.
- “Draft”: Any preliminary or non-final version of the Pitch Deck that PitchBuilder Ltd provides to the Client for review and feedback, prior to final approval.

VAT and Currency
- All fees are subject to the prevailing rate of VAT in the United Kingdom unless otherwise stated.
- If PitchBuilder Ltd incurs payments in a foreign currency, any quoted fees may be adjusted to reflect changes in relevant exchange rates.

Commissioning the Project and Payment Terms
- The Client commissions the Project by selecting a Package and paying a deposit of 50% of the total fee. PitchBuilder Ltd will not begin work on the Pitch Deck until this deposit is received.
- The remaining 50% is payable upon the Client’s approval of the final Pitch Deck. PitchBuilder Ltd will release the Deliverables (including any editable files) only after receiving payment in full.
- All invoices must be paid in accordance with the terms stated on the invoice.
- The Client commissions the Project by selecting a Package and paying a deposit of 50% of the total fee. PitchBuilder Ltd will not begin work on the Pitch Deck until this deposit is received.

Cancellation and Postponement
- If the Client cancels, postpones, or materially alters the Project after commissioning, PitchBuilder Ltd may charge a fee to cover the work completed, commitments made, and any reasonable loss of profit incurred up to the date of written notice.

Client Indemnity
- The Client agrees to indemnify and hold PitchBuilder Ltd harmless against all claims, proceedings, and liabilities (whether civil or criminal) arising from the use or reliance on the Deliverables, including all legal fees and expenses.

Accuracy of Data and Reports
- PitchBuilder Ltd will make reasonable efforts to ensure the accuracy of any data, reports, or tabulations included in the Pitch Deck but does not guarantee completeness or accuracy, particularly where such information is obtained from external sources.
- If the Client identifies a material error caused by PitchBuilder Ltd’s negligence, PitchBuilder Ltd will take reasonable steps to correct it at no additional charge.
- PitchBuilder Ltd will not be liable for any loss or damage resulting from inaccuracies in data or information provided by third-party sources.
- PitchBuilder Ltd will make reasonable efforts to ensure the accuracy of any data, reports, or tabulations included in the Pitch Deck but does not guarantee completeness or accuracy, particularly where such information is obtained from external sources.

Advice and Recommendations
- Any advice or recommendations provided by PitchBuilder Ltd regarding business strategy or methods are offered in good faith as suggestions only. PitchBuilder Ltd shall not be liable for any losses or damages incurred by the Client in acting upon such advice.

Revisions and Final Delivery

Feedback on First Draft: The Client has 28 calendar days from receipt of the first draft of the Pitch Deck to provide feedback. If no feedback is received within 28 calendar days, the Pitch Deck will be deemed approved in accordance with Clause 3.b.

Subsequent Drafts: The Client may request reasonable revisions to each subsequent draft, provided such revisions align with the Project Brief.

Final Approval: Once the Client approves the final draft, the remaining 50% fee becomes due immediately.

Release of Deliverables: PitchBuilder Ltd will release the Deliverables, including any editable files, only after receiving full payment.

Feedback on First Draft: The Client has 28 calendar days from receipt of the first draft of the Pitch Deck to provide feedback. If no feedback is received within 28 calendar days, the Pitch Deck will be deemed approved in accordance with Clause 3.b.

Variations
- No variation or amendment to these Terms of Sale shall be effective unless agreed in writing and signed by a director of PitchBuilder Ltd.

Dispute Resolution
- If a dispute arises out of or in connection with these Terms, the parties shall first attempt to resolve it through friendly consultation.
- The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

By commissioning the Project, the Client acknowledges and accepts these Terms of Sale.
